SCOPE:We are seeking a seasoned and business-savvy Corporate Counsel to join our Legal team at a leading property and casualty auto insurance company headquartered in Miami, Florida . This role will focus exclusively on insurance regulatory compliance, corporate governance, and business transactions . The ideal candidate will have deep familiarity with the legal and operational landscape of P&C insurance and bring a proactive, solutions-oriented mindset to supporting internal stakeholders and guiding executive leadership on legal risk. This position is hybrid, and includes both in-person and remote work days. Key Responsibilities:
- Provide legal counsel on issues impacting the company’s P&C insurance operations, including compliance with state insurance laws, regulatory filings, and coordination with Departments of Insurance.
- Draft, review, and negotiate insurance-related business agreements, including vendor contracts, licensing agreements, and reinsurance or MGAs/TPAs as applicable.
- Advise on corporate governance matters such as board documentation, entity maintenance, corporate filings, and internal policy development.
- Support the company’s regulatory strategy, including market conduct exam responses, rate/form filings, and oversight of compliance reporting requirements.
- Monitor evolving insurance regulations and ensure timely internal communication and compliance adaptation.
- Collaborate with cross-functional departments (Product, Claims, Underwriting, Risk) to identify and mitigate regulatory risks.
- Manage interactions with regulators and outside counsel as needed.
- Assist with corporate structuring, expansion into new jurisdictions, or licensing initiatives.
- J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
- Minimum of 5+ years of legal experience (in-house or law firm), with a strong background in employment and business law . Experience in insurance, financial services, or regulated industries preferred.
- Solid understanding of property and casualty insurance operations is highly desirable.
- Proven ability to work independently, exercise sound judgment, and balance multiple priorities in a fast-paced environment.
- Exceptional interpersonal, written, and verbal communication skills.
- Experience managing or coordinating outside counsel is a plus.
- Familiarity with Florida Office of Insurance Regulation (OIR) and other state regulatory bodies.
- Experience supporting internal audits or risk programs related to insurance.
