Job Description:

Our client is seeking an experienced Legal Advisor with a background in US Securities and Nasdaq listed mining entities to join their team in Florida, USA.

This role will provide support to the General Counsel on US Securities Law, Nasdaq compliance and public-company governance matters.

Responsibilities:

• Advise on U.S. securities law compliance for foreign private issuers.
• Prepare, review, and file SEC disclosures including applicable forms and registration statements.
• Ensure continued compliance with Nasdaq listing rules and governance requirements.
• Provide legal guidance on equity issuances, share plans, compensation disclosures, warrant exercises, and capital raising activities.
• Monitor insider trading compliance and manage blackout periods and Regulation FD issues.
• Coordinate with external U.S. counsel, auditors, transfer agents, and advisers as well as internal stakeholders and investor relations teams.
• Providing guidance to boards and committees on securities law and disclosure matters.

Requirements : Qualification and Skill

• Bachelor of Laws (LLB) Degree.
• Admitted Attorney.
• At least 5 years of experience with US listed companies, with mining entity experience highly preferred.
• Previous experience with foreign private issuers.
• Strong knowledge of SEC reporting, capital markets activity, and Nasdaq requirements.
• Excellent attention to detail and sound commercial judgment.
• Able to work provide effective output in a fast paced, cross border setting.
• In house experience or a secondment to a listed company is an advantage.
• Relocation to Florida, USA will be required.
